Terms of Service — Millimeters

1. Who you are contracting with

Millimeters (“Millimeters”, “we”, “us”) is operated by [MILLIMETERS LEGAL ENTITY + ADDRESS — MIKA TO FILL]. These Terms apply to the millimeters.cc website, the Millimeters web apps (Review, Backup, Display, Analyze, Search, Repos and Editor), the Millimeters desktop app, and our APIs — together, the “Service”. Millimeters is an early-stage product under active development.

By creating an account, or by using the Service, you agree to these Terms and to the Privacy Policy and Refunds & Cancellation Policy, which form part of this agreement. We record the date and time you accepted them when your account is created.

2. Your account

One email address, one account. Give us accurate details and keep them current.
You are responsible for what happens under your account, including anything done by people you invite into your workspace. Keep your password and any personal access tokens secret.
Tell us promptly — through the “Report an issue” button in the app or the contact page — if you believe your account has been accessed without your permission.

3. Your content stays yours

You keep every right you have in the footage, photos, project files, comments and other material you upload (“Your Content”). We claim no ownership of it.

You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit and process Your Content solely to operate the Service for you. In practice that means: storing your originals, generating proxies, thumbnails and waveforms, producing transcripts and analysis you ask for, serving the files to people you share a link with, and keeping backups. The licence ends when you delete the content or close your account, except for copies still sitting in routine backups until they expire (see the Privacy Policy).

You promise that you have the rights to upload Your Content, and that sharing it through Millimeters does not infringe anyone else’s copyright, privacy or other rights.

4. Share links and your clients

Review, Display and Backup links are designed for people who do not have accounts. Anyone with a share link can open the content it points at, subject to any password or expiry you set. Treat a share link as a credential: publishing one publicly makes the content public. Public Display pages are indexable by search engines by design.

5. Acceptable use

You agree not to use the Service to:

store or distribute material that is unlawful, infringing, or sexual material involving minors;
harass, defame or threaten anyone, or breach anyone’s privacy;
distribute malware, or attempt to breach, probe or overload our systems or another customer’s data;
resell raw storage or bandwidth, or use Millimeters as a general-purpose CDN or file-hosting backend unrelated to your visual work;
circumvent plan limits, quotas or rate limits, including by spreading one workload across multiple free accounts.

We may remove content or suspend an account that breaches this section. Where the breach is not serious or unlawful we will contact you first and give you a chance to fix it.

6. Plans, storage and payment

Prices are in Australian dollars (AUD). The plans:

Free: 1 GB of original storage. Every tool included. No card required.
Pro: Billed monthly in advance. 50 GB of original storage.
Hosting credits: One-time 5 GB packs, valid for 12 months from purchase. Packs stack, and work on Free or Pro.

Current prices are shown on the pricing page and confirmed by Stripe at checkout before you pay. The amount Stripe shows at checkout is the authoritative price for that purchase.

Payments are processed by Stripe. We never see or store your full card number. A Pro subscription renews automatically each month until you cancel; you can cancel at any time from your account settings. Cancellation, proration and refunds are covered in the Refunds & Cancellation Policy.

We may change prices. Existing subscribers get at least 30 days’ notice by email before a change applies to their subscription, and can cancel before it takes effect.

If you exceed your storage allowance, uploads pause until you free space, upgrade or buy credits. We do not delete content because you went over — but if an account is over its allowance and unpaid for a long period we may, after emailing you, remove content to bring it back within limits.

7. AI features

Some features — the AI editor, AI cut assistance and parts of Analyze — use large language models. Each workspace chooses one of three modes in its settings:

Managed — you use our model access. Your prompts, the conversation, and metadata describing your media (file names, durations, timecodes, transcript text and clip structure) are processed by AI inference infrastructure we operate to generate the response. Usage is metered against your workspace’s daily allowance.
Bring your own key — requests go to the provider and endpoint you configure, using your key. Your agreement with that provider governs what they do with the data.
Disabled — no AI feature sends anything anywhere.

Transcription and media analysis run on our own infrastructure in AWS and are not sent to a third-party model provider. Model output is generated automatically, can be wrong, and is not advice. Check it before you rely on it. You are responsible for the edits you publish.

8. Availability

We work hard to keep Millimeters up, but the Service is provided without an uptime guarantee or service-level agreement. We may take the Service down for maintenance, and we may change or remove features. Where a change materially reduces what a paid plan does, we will tell paying customers by email before it lands.

9. Suspension, termination and your data

You can close your account at any time yourself from your account settings, or by asking us through the contact page (include the email address on the account so we can verify it is you). Deleting your account erases your content immediately and irreversibly — see the Privacy Policy for the detail. We may suspend or terminate an account that materially breaches these Terms, that is being used unlawfully, or that has gone unpaid after we asked you to fix it.

Before you close a paid account, export anything you want to keep. Once deletion runs we cannot recover it.

10. Warranties and liability

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where we are permitted to limit liability for a failure to comply with a consumer guarantee, our liability is limited to re-supplying the Service or paying the cost of having it re-supplied.

Otherwise, and to the extent the law allows: the Service is provided “as is”; we are not liable for indirect or consequential loss, loss of profits, or loss of data; and our total liability to you for all claims in any 12-month period is limited to the amount you paid us for the Service in that period.

Millimeters is a delivery and review tool, not a backup of record. Keep your own copy of anything you cannot afford to lose.

11. Changes to these Terms

We may update these Terms. If a change materially affects your rights we will email account holders at least 30 days before it takes effect, and the “last updated” date at the top of this page always reflects the current version. Continuing to use the Service after a change takes effect means you accept it.

12. Governing law

These Terms are governed by the laws of [STATE/TERRITORY — MIKA TO FILL], Australia, and you and we submit to the non-exclusive jurisdiction of the courts of that place.
